Company registration in Serbia
The procedure of company registration in Serbia is carried out in The Serbian Business Registers Agency, which has its head office in Belgrade and its organizational units in urban municipality of Rakovica, Novi Sad, Subotica, Zrenjanin, Pancevo, Valjevo, Kraljevo, Uzice, Zajecar, Kragujevac, Nis, Leskovac and Kosovska Mitrovica.
The registration form can be submitted in person, by post or e-mail (in which case you have to have an electronic signature).
With the registration form you have to submit:
-The Memorandum of association (the Decision for a one-member company or the Contract for the company with more than one member)
– The company’s members proof of identity- a photocopy of ID for domestic citizens, or a photocopy of passport for foreign citizens
-The proof of paying the setup fee and the proof of paid fees for registration and issuing the Memorandum of association I
If the money share or non-money share is brought into the company, it is necessary to submit the proof of that as well.
When choosing the business name of the company in Serbia it is very important to make sure it has the basic elements (the name of the company, its legal form and the place where the main office of the company is registered), but also that the chosen business name is not identical to the business name of another company. Therefore, it has to be different from the business name of another company so as not to mislead anyone into thinking that it is the same legal entity.
The minimum value of share capital is 100 dinars.
A very important thing to mention is that in Serbia there is one-stop shop system of registration, which allows you to get your company registration number, tax identification number (TIN), VAT application ( if you registered for VAT) , and a compulsory social insurance certificate for the company founder at the same time when you are setting up the company.
After submitting the application, the Business Registers Agency decides whether the application will be accepted or refused and the deadline for that is 5 working days, starting from the date when the application was accepted in the Register.
